We have advised banks, real estate funds, project owners or developers in various financings including acquisition lending, development and constructions loans, interim and bridge loans, structured lending including mezzanine loans. The real estate properties involved include commercial buildings, office property, residential property, warehouses, industrial plants, hotels and resorts, complex use property, and public parks among others.
Deeply rooted in China and in tune with the unique political, legal and commercial environment, we understand the underlying business issues and risks. We work closely and constructively with all parties involved with aims to developing innovative financing solutions for real estate projects in China.
Our recent involvement in real estate finance includes:
- Representing Carlyle Real Estate Partners in the financing for its acquisition of a famous residential property in Shanghai.
- Representing a leading international investment bank in a mezzanine finance to a foreign fund for the acquisition of a domestic office property.
- Representing HSBC (China) in its financing to a local subsidiary of Wharf Group in connection with real estate development.
- Acting as legal counsel to DBS in its real estate financing project under which RMB/USD dual-currency loans were granted to a Beijing company.
- Acting as legal counsel to Morgan Stanley in its financing of acquisition of a hotel-style condominium project.
- Representing HSBC Shanghai Branch as the lender in a thousands of million HK$ loan to Shanghai JiaZhao Real Estate Development Company. Our work involved reviewing and revising finance documents (including loan agreements, real estate mortgage agreements, pledges of shares, subordination deeds, guarantees and ordinary assets pledges) and issuing legal opinions.
